By accessing or using the Website, requesting a quotation, placing an order, or otherwise engaging with SOOK through the Website, you (“you,” “Customer,” or “User”) agree to be bound by these Terms. If you do not agree, please do not use the Website.

7. Quotations, Orders and Contracts

Enquiries submitted through the Website (including contact forms and quotation requests) are not binding orders. Any quotation issued by SOOK is valid for the period stated in the quotation and is subject to final confirmation, credit approval, and availability.

A binding sales contract is formed only when SOOK issues a written order confirmation or when both parties execute a formal sales agreement. Such separate agreement, together with any incorporated terms of sale, will govern the specific transaction and will prevail over these Terms to the extent of any conflict regarding that transaction.

8. Pricing and Payment Terms

Prices referenced on the Website, if any, are indicative only, are subject to change without notice, do not constitute a final quotation, and are not binding on SOOK. Final pricing, currency, taxes, duties, and payment terms will be set out in the applicable quotation or sales agreement.

Unless otherwise agreed in writing, payment terms, accepted payment methods, invoicing, and any deposit requirements will be specified in the relevant quotation or sales agreement between SOOK and the Customer.

9. Delivery, Title and Risk of Loss

Delivery timelines, shipping methods, incoterms, transfer of title, and transfer of risk of loss will be specified only in a separate sales agreement entered into between SOOK and the Customer, and are not stipulated on this Website.

10. Warranties and Disclaimers

Except for any express product warranty set out in a separate sales agreement or product warranty document provided by SOOK, the Website and its Content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

SOOK does not warrant that the Website will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. Any warranties applicable to SOOK's medical devices, exercise equipment, or wellness equipment are governed exclusively by the written warranty terms provided with the applicable sales agreement or product documentation, and not by this Website.

11. Limitation of Liability

To the maximum extent permitted by applicable law, SOOK shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your access to or use of the Website, even if SOOK has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, SOOK's total aggregate liability arising out of or relating to your use of the Website shall not exceed the equivalent of THB 100,000. 

This limitation of liability under this Section 11 does not apply to: 

a) liability arising from a separate, executed sales agreement, which shall be governed by the liability terms set out in that agreement; 

b) damage caused by the willful misconduct or gross negligence of SOOK or its representatives; 

c) damage to life, body, or health;

d) fraud or deception; or 

e) liability that cannot be limited or excluded under applicable Thai law.

12. Indemnification

You agree to indemnify, defend, and hold harmless SOOK, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your misuse of the Website, your violation of these Terms, or your violation of any applicable law or third-party right.

13. Privacy and Data Protection

Our collection, use, and disclosure of personal data through the Website is described in our Privacy Policy, which is incorporated into these Terms by reference and complies with Thailand's Personal Data Protection Act B.E. 2562 (2019). By using the Website, you acknowledge that you have read and understood our Privacy Policy. 14. Termination and Suspension

We reserve the right, at our sole discretion, to suspend or terminate your access to the Website, without notice, if we reasonably believe you have violated these Terms or engaged in conduct that is harmful to SOOK, other users, or third parties. These Terms and Conditions may be prepared in languages other than Thai for the convenience of users. However, in the event of any conflict, discrepancy, or inconsistency in interpretation between the Thai-language version and any other language version, the text and conditions of the Thai-language version shall prevail for all purposes of interpretation and enforcement.

16. General Provisions

Force Majeure: 

SOOK shall not be deemed in breach of these Terms if it is unable to perform its obligations due to an event of force majeure or circumstances reasonably beyond SOOK's control, such as natural disasters, epidemics, government action, import/export restrictions, or failures of network or third-party service providers.

Severability: 

If any provision of these Terms is held unenforceable or unlawful, that provision shall be limited or removed only to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

No Waiver: 

SOOK's failure to exercise or enforce any right under these Terms in any instance shall not be deemed a waiver of that right in any other instance or in the future.

Assignment: 

You may not assign or transfer your rights or obligations under these Terms to any other person without SOOK's prior written consent. SOOK may assign or transfer its rights or obligations under these Terms as it deems appropriate.

Entire Agreement: 

These Terms, together with the Privacy Policy and any other documents referenced herein, constitute the entire agreement between you and SOOK regarding your use of the Website, and supersede all prior agreements or understandings on that subject, except that a separate sales agreement under Section 7 shall govern the specific transaction to which it applies.
